Case Study: Acquisition of the Former Adam Carpets Site, Kidderminster

Summary

Davisons Law acted for Bhandal Properties Ltd in the acquisition of the former Adam Carpets industrial site in Kidderminster. The sale was conducted by administrators following the collapse of the long-standing carpet manufacturer, creating the conditions of a fire sale in which disclosure was extremely limited and the transaction had to proceed on a “take it or leave it” basis. Despite the challenges and the presence of competing bidders in what became a contract race, the deal was secured smoothly and efficiently thanks to the expertise, assurances, and responsiveness of Davisons Law’s Ifzal Akhtar and Shannon McFadden.

Background

Greenhill Works, the former home of Adam Carpets, came to market following the company’s entry into administration. Because the sale was driven by the administrators’ need to realise assets quickly, the process was characterised by restricted disclosure and limited opportunity to negotiate wider protections. Several interested parties were also pursuing the property, turning the matter into a race to secure exchange. Bhandal Properties required a legal team able to act decisively, advise on risks pragmatically, and provide the assurances needed to position them as the preferred purchaser.

The Legal Challenge

The distressed nature of the transaction presented a number of obstacles. The administrators were unable to provide the level of disclosure normally expected in a commercial property purchase, meaning that the buyer had to proceed with heightened uncertainty about the site’s condition and potential liabilities. In addition, the competitive bidding environment created significant time pressure, as any delay could have resulted in a competing buyer overtaking the process. The challenge for Davisons Law was therefore to carry out targeted due diligence within the limitations imposed, ensure that key risks were understood and managed, and progress the matter swiftly enough to keep Bhandal Properties in first position.

Davisons Law’s Approach

From the outset, Ifzal Akhtar and Shannon McFadden provided the assurances required by the administrators to establish Bhandal Properties as a committed and reliable buyer. Their experience in handling distressed sales enabled them to identify the areas where enquiries would be productive and those where disclosure would not be forthcoming, allowing them to focus attention on the issues of genuine significance. Their proactive communication and readiness to proceed meant that documentation could be advanced quickly, eliminating delays and demonstrating to the administrators that the client was prepared to complete without unnecessary hesitation. Their combined expertise and manpower ensured that the matter remained on track throughout, despite the pressured and competitive environment.

Outcome

The transaction completed in a timely and straightforward manner, with Bhandal Properties acquiring the 154,743-square-foot industrial site for £4 million. Davisons Law’s strategic approach enabled the client to secure the property ahead of other bidders, despite the inherent uncertainties and constraints of a fire sale. The client’s interests were protected as far as possible within the limits of the administrator-led process, and the matter progressed with minimal difficulty thanks to the diligence and efficiency of Ifzal and Shannon. The acquisition provides Bhandal Properties with a significant commercial opportunity and strengthens their investment portfolio.
